By accessing and using CashBooks, you accept and agree to be bound by the terms and provisions of this agreement. You accept this agreement either by clicking a box indicating your acceptance or by proceeding to use CashBooks. If you do not agree with these terms and conditions, you may not use CashBooks.
What CashBooks Companion provides
CashBooks is a comprehensive accounting and financial management platform provided by Caspian Software Solutions, Inc. that enables businesses to manage their financial data, connect with financial institutions, and maintain accurate books with AI-powered automation and professional reporting capabilities.

CashBooks is only available to bona fide end-users with legitimate business accounting needs. We reserve the right to terminate accounts used for competitive purposes.
Your responsibilities and account requirements
You must validly enter into this Agreement and have legal power to do so
You must provide accurate and complete registration information
You are responsible for maintaining the security of your account and password
You must notify us immediately of any unauthorized access to CashBooks
Usage is subject to limits unless otherwise specified
Passwords must not be shared (except with authorized Accountants for client services)
Ensure CashBooks compatibility with your device, browser, and network connections
Maintain compliance with this Agreement for all Users and Affiliates
Use commercially reasonable efforts to prevent unauthorized access
Use CashBooks only in accordance with this Agreement and applicable laws
Manage access rights granted to your Accountants and Employees
What you can and cannot do with our service
Legitimate business accounting and financial management
Connecting to your own financial institutions via Plaid
Managing customer data and financial records
Using CashBooks for you, your Affiliates, Users, and authorized Accountants
Storing and processing business financial documents
Generating reports and analytics for business purposes
Making CashBooks available to unauthorized third parties
Selling, reselling, licensing, or distributing CashBooks without consent
Storing or transmitting infringing, libelous, or unlawful material
Storing or transmitting malicious code, viruses, or harmful software
Interfering with or disrupting the integrity or performance of CashBooks
Attempting to gain unauthorized access to CashBooks or related systems
Circumventing contractual usage limits
Reverse engineering CashBooks (where legally permitted)
Using CashBooks to build competitive products or services
You may only provide access information for financial accounts where you are the principal account holder or have explicit authority to act on behalf of the principal account holder. Our service provider Plaid Inc. will access these accounts for transaction data aggregation and account verification.
How we handle your data and privacy
Your privacy and data protection are governed by our Privacy Notice and Data Protection Laws including GDPR. As Data Controller of your Customer Data, you have specific responsibilities.
You retain ownership and control of Customer Data as Data Controller
You can request export of Customer Data within 28 days after termination
We implement appropriate technical and organizational security measures
We provide assistance with Data Subject requests and compliance obligations
Personal Data transfers are protected by appropriate safeguards
Comply with Data Protection Laws for all Customer Personal Data
Ensure you have legal authority to disclose Personal Data to us
Obtain necessary consents and provide required notices to Data Subjects
Ensure accuracy, completeness, and timeliness of information provided
Warrant that your Processing instructions comply with applicable laws
Note: We may use Customer Data (on a pseudonymized and aggregated basis) for research, development, and service improvements. Contact us if you prefer to opt out of this usage.
Subscription plans, billing, and payment policies

Your CashBooks Accountant may pay fees on your behalf
Payment obligations are non-cancellable
Fees paid are non-refundable (except as specified)
Invoiced charges due 30 days from invoice date
Fees payable in advance unless otherwise stated
Payment Methods: Valid credit/debit cards, direct debit, or alternative methods we accept
Late Payments: 1.25% monthly interest on overdue amounts (or maximum legal rate)
Account Suspension: Access suspended if payment is 14+ days overdue (5+ days for card payments)
Taxes: You are responsible for all applicable taxes (VAT, GST, sales tax, etc.)
Promotional Pricing: Automatically converts to standard pricing after Free Trial/Promotion ends
Price Changes: 30-day advance notice for subscription renewals (except Free Trial/Promotional customers)
We will not exercise suspension rights if you are disputing charges reasonably and in good faith while cooperating to resolve the dispute. Purchases are not contingent on future functionality or features.
Service level expectations and support policies
24 hours a day, 7 days a week availability target
Planned downtime (minimum 8 hours electronic notice)
Scheduled during weekend hours when possible
Unavailability may occur due to Force Majeure Events
We use commercially reasonable efforts for uptime
Technical advice and assistance included at no additional charge
Support provided with commercially reasonable efforts
No support for third-party software or Non CashBooks Applications

Collateral and online resources provided
Service Dependencies: CashBooks availability depends on your internet provider's network. We are not responsible for your provider's availability or any associated loss, damage, error, or failure to transmit.
Audit Rights: We may audit your usage through CashBooks. Unauthorized use will result in overage fees and conversion to full-use subscriptions at current list pricing.

To You: We grant you a worldwide, limited-term license to use CashBooks subject to this Agreement and the Collateral.
From You: You grant us a worldwide, limited-term license to host, copy, transmit and display Customer Data as necessary to provide CashBooks.
Feedback: You grant us a worldwide, irrevocable, royalty-free license to use any feedback, suggestions, or enhancement requests you provide.
Important legal limitations and disclaimers
You waive claims against CashBooks and Released Parties arising from your use
No liability for direct, indirect, incidental, or consequential damages
No liability for loss of use, profits, or data
Aggregate liability limited to compensation paid in prior 3 months
No liability for Third Party Materials or Third Party Services
You use CashBooks and Third Party Services at your own risk
You shall defend, indemnify and hold harmless CashBooks from any loss, damages, or claims arising from your use of CashBooks, your Customers' use, or any infringement of third-party rights by your User Content.
Important: CashBooks disclaims any representations that your use will satisfy legal obligations or ensure compliance with laws or regulations. Some provinces may not allow exclusion of implied warranties.
How accounts can be terminated and what happens next
Subscriptions automatically renew for equal periods
Either party may give 30 days notice of non-renewal
If Accountant pays your fees, notify them for termination
Pricing remains same unless 30 days written notice given
14 days written notice for material breach
Immediate termination for insolvency/bankruptcy
You may terminate for materially detrimental changes (7 days notice)
We may terminate for policy violations or non-payment
Customer Data available for export/download for 28 days after termination
After 28 days, we will delete all Customer Data unless legally prohibited
Refunds provided if you terminate for cause; no refunds if we terminate for cause
Outstanding fees covering remainder of term become due if we terminate for cause
Surviving provisions remain in effect (confidentiality, liability, etc.)
Accrued rights, remedies, and liabilities continue after termination
Legal jurisdiction and dispute resolution
This Agreement and any disputes arising from it will be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law principles.
Each party irrevocably agrees to submit to the exclusive jurisdiction of the courts of Delaware, United States of America over any claim or matter arising out of or in connection with this Agreement.
CashBooks may be subject to U.S. export laws. You represent that you are not on any U.S. government denied-party list and will not permit Users to access CashBooks in U.S.-embargoed countries or in violation of U.S. export laws.
Assignment: Neither party may assign this Agreement without consent, except to Affiliates or in connection with merger/acquisition. However, we may transfer this Agreement at any time without your consent.

Continued use of CashBooks after the effective date of changes constitutes acceptance. If you don't agree, you must stop using CashBooks and may terminate your account.
